Welcome to the Health Mentor AI Referral Program! These terms govern your participation in our referral program, which allows you to earn recurring commissions by referring users to our service. By participating in the referral program, you agree to these terms in addition to our Terms of Use and Privacy Policy.

1. Program Overview

Two-Tier Commission Structure

Earn 15% recurring commission on subscription payments from users you directly refer.

Example: Your referral pays £14.99/month → You earn £2.25/month

Tier 2: Network Referrals

Earn 15% recurring commission on subscription payments from users referred by your referrals.

Example: Your referral's referral pays £14.99/month → You earn £2.25/month

2. Eligibility

To participate in the referral program, you must:

  • Be at least 16 years old
  • Have an active Health Mentor AI account (free or paid)
  • Comply with these Referral Terms and our Terms of Use
  • Not engage in fraudulent, deceptive, or unethical referral practices
  • Be legally able to receive payments in your country of residence

🌍 Global Availability

The referral program is available to users worldwide. However, payment processing is handled by Stripe, which may have restrictions in certain countries. You are responsible for ensuring you can receive payments in your location and for any tax obligations in your jurisdiction.

3. How It Works

Get Your Referral Code

When you sign up, you automatically receive a unique referral code that you can share with others.

Share Your Code

Share your referral code with friends, family, clients, or your community through social media, email, or word of mouth.

They Sign Up

When someone signs up using your referral code, they become your referral.

4️⃣

They Subscribe

When your referral subscribes to a Premium or Advanced Premium plan, you start earning 15% commission on their monthly payments.

5️⃣

Network Effect

When your referrals refer others who subscribe, you earn an additional 15% commission on those subscription payments (Tier 2).

6️⃣

Claim Your Earnings

Once you reach the minimum threshold of £20 or $20, you can claim your commissions through the app via Stripe.

4. Commission Structure

Eligible Subscriptions

Commissions are earned on the following subscription plans:

  • Premium Plan:
    • Monthly: £14.99/month → You earn £2.25/month per active subscriber
    • Annual: £99.99/year → You earn £15.00/year per active subscriber (paid annually)
  • Advanced Premium Plan:
    • Monthly: £29.99/month → You earn £4.50/month per active subscriber
    • Annual: £199.99/year → You earn £30.00/year per active subscriber (paid annually)

Note: Free plans (Guest Mode and Standard) do not generate commissions. For annual subscriptions, your commission is paid as a single payment per year when the user pays their annual fee. Pricing shown is standard retail; promotional pricing may vary.

Recurring Commissions

Commissions are recurring - you continue earning 15% for as long as your referrals maintain active paid subscriptions. If a referral cancels their subscription, you stop earning commissions from that user. If they resubscribe later, commissions resume.

✅ Commission Calculation Example

Scenario: You refer 10 people who subscribe to Premium (£14.99/month), and 3 of them each refer 5 people who also subscribe to Premium.

Your Monthly Earnings:

  • Tier 1 (10 direct referrals): 10 × £2.25 = £22.50/month
  • Tier 2 (15 network referrals): 15 × £2.25 = £33.75/month
  • Total: £56.25/month recurring

Annual Earnings from this example: £675/year

5. Payment Terms

Minimum Payout Threshold

You must accumulate at least £20 (or $20 USD equivalent) in commissions before you can claim a payout. Once you reach this threshold, you can request payment through the app's referral section.

60-Day Waiting Period

Commissions become claimable 60 days after the subscription payment is made. This waiting period ensures that:

  • • Apple App Store and Google Play Store refund periods have expired
  • • All chargeback periods have passed
  • • The subscription payment has been fully processed and settled
  • • There are no payment disputes

Example: If your referral pays for January on January 1st, you can claim that commission starting March 2nd (60 days later).

Payment Method

All commission payments are processed through Stripe Connect. You will need to:

  • Connect your bank account or debit card to Stripe within the app
  • Complete Stripe's identity verification process
  • Ensure your payment details are accurate and up-to-date

Once you claim your earnings, payments are typically processed within 2-7 business days, depending on your bank and location.

Currency

Commissions are paid in your local currency as supported by Stripe. If your referrals pay in a different currency, commissions will be converted to your local currency at the time of payment.

6. When Commissions Stop

You will stop earning commissions from a referral when:

  • Subscription Cancellation: The referral cancels their paid subscription (commissions resume if they resubscribe)
  • Downgrade to Free: The referral downgrades to a free Standard account
  • Account Deletion: The referral deletes their account entirely
  • Payment Failure: The referral's payment method fails and they don't update it
  • Program Violation: You or your referral violates these terms or our Terms of Use

✓ No Commission Clawbacks

If a referral cancels their subscription, you simply stop earning future commissions from that user. We do not clawback commissions you've already earned and claimed, except in cases of fraud or refunds within the 60-day waiting period.

7. Prohibited Activities

⚠️ The Following Are Strictly Prohibited:

  • ✗ Self-Referrals: Creating multiple accounts to refer yourself
  • ✗ Fake Referrals: Using bots, fake accounts, or fraudulent sign-ups
  • ✗ Incentivized Sign-ups: Paying people to sign up or subscribe using your code
  • ✗ Spam: Sending unsolicited emails, messages, or spam to promote your referral code
  • ✗ Misrepresentation: Making false claims about Health Mentor AI or our services
  • ✗ Trademark Violations: Using our brand name or logo without permission in paid ads or domains
  • ✗ Coupon/Deal Sites: Posting fake discounts or coupons without authorization
  • ✗ Cookie Stuffing: Forcing referral codes through technical means without user consent
  • ✗ Chargebacks: Encouraging referrals to make chargebacks after you receive commissions

Consequences of Violations

If you engage in any prohibited activities, we reserve the right to:

  • • Immediately suspend or terminate your referral account
  • • Forfeit all unpaid commissions
  • • Revoke previously paid commissions if obtained fraudulently
  • • Terminate your Health Mentor AI account entirely
  • • Pursue legal action if necessary

8. Permitted Promotion Methods

You may promote your referral code through:

  • ✓ Social Media: Organic posts on your personal or professional social media accounts
  • ✓ Word of Mouth: Sharing with friends, family, clients, or community members
  • ✓ Email: Sharing with your existing contacts (not spam or purchased lists)
  • ✓ Content Creation: Blog posts, videos, or reviews about Health Mentor AI (must be honest and accurate)
  • ✓ Professional Relationships: Recommending to clients, students, or colleagues in appropriate contexts
  • ✓ Paid Advertising: With prior written approval from Health Mentor AI (contact us at [email protected])

9. Tax Responsibilities

💼 You Are Responsible for Taxes

Referral commissions are considered income in most jurisdictions. You are solely responsible for:

  • • Reporting your commission earnings to tax authorities
  • • Paying any applicable income tax, VAT, or other taxes
  • • Maintaining records of your earnings for tax purposes
  • • Complying with all tax laws in your jurisdiction

We do not withhold taxes from commission payments. Stripe may report payments to tax authorities as required by law. We recommend consulting with a tax professional about your specific tax obligations.

10. Program Changes & Termination

Our Right to Modify

We reserve the right to modify, suspend, or terminate the referral program at any time, with or without notice. This includes:

  • Changing commission rates for new referrals (existing referrals remain at their original rate)
  • Modifying the tier structure or commission tiers
  • Adjusting minimum payout thresholds
  • Changing payment methods or schedules
  • Adding or removing eligible subscription plans

We will provide at least 30 days notice of material changes that negatively affect existing participants. Changes will be posted to this page with an updated "Last Updated" date.

Grandfathering

If we reduce commission rates, your existing referrals (those who signed up before the change) will continue earning at the original rate. Only new referrals after the change will be subject to the new rates.

Program Termination

If we terminate the referral program entirely, you will have 90 days to claim any outstanding commissions that have passed the 60-day waiting period. After 90 days, any unclaimed commissions will be forfeited.

11. Relationship with Health Mentor AI

Independent Participants

Participation in the referral program does not create an employment, partnership, joint venture, or agency relationship between you and Health Mentor AI Ltd. You are an independent participant, not our employee or representative.

You have no authority to make commitments, representations, or warranties on behalf of Health Mentor AI.

12. Disputes & Resolution

If you have questions or concerns about commissions, payments, or referral tracking:

  1. First, check your referral dashboard in the app for detailed commission tracking
  2. If you believe there's an error, contact us at [email protected] with details
  3. We'll investigate and respond within 10 business days
  4. Commission disputes must be raised within 90 days of the alleged issue

These Referral Terms are governed by the same dispute resolution provisions as our Terms of Use, including the laws of England and Wales and arbitration options.

13. Privacy & Data Usage

When you participate in the referral program, we collect and use certain information as described in our Privacy Policy, including:

  • Your referral code and referral activity
  • Email addresses of people you refer (only those who sign up)
  • Commission earnings and payment information
  • Stripe payment processing data

14. Limitation of Liability

To the maximum extent permitted by law, Health Mentor AI Ltd shall not be liable for:

  • Lost commissions due to technical issues, payment processor problems, or system errors
  • Delays in payment processing caused by third parties (Stripe, banks)
  • Tax liabilities or penalties arising from your participation
  • Disputes between you and your referrals
  • Changes to the program that affect your earnings

15. Entire Agreement

These Referral Terms, together with our Terms of Use and Privacy Policy, constitute the entire agreement regarding the referral program. If there's a conflict between these Referral Terms and the Terms of Use, these Referral Terms prevail for referral program matters.
