4. Guest Mode

Our Service offers a Guest Mode that allows you to try the app without creating an account. When using Guest Mode:

• No cloud backup is available
• Data will be lost if you uninstall the app or clear app data
• You can upgrade to a full account at any time to enable cloud backup

• Subscription fees are billed monthly in advance
• Payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• All fees are non-refundable except as required by law
• You can cancel your subscription at any time
• Upon cancellation, you retain access until the end of your billing period

Refund Policy

Refunds are handled according to Apple App Store and Google Play Store policies. If you purchased through our website, you may request a refund within 14 days of purchase by contacting us at [email protected].

We do NOT claim ownership of Your Content, and we will not share it with third parties except as described in our Privacy Policy.

Our Service includes features that allow you to share your health data with personal trainers. You acknowledge that:

• You have full control over what data you share and with whom
• We facilitate the connection but are not party to your trainer-client relationship
• Trainers are independent professionals, not employees of Health Mentor AI
• We are not responsible for the advice, services, or conduct of trainers
• Disputes between you and your trainer are between you and them
• You can revoke trainer access at any time through app settings

12. Referral Program

Our referral program is governed by separate Referral Terms. By participating in the referral program, you agree to those terms in addition to these Terms of Use.

13. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to our Privacy Policy.

14. Third-Party Integrations

The Service integrates with third-party services like HealthKit (Apple), Health Connect (Google), and payment processors (Stripe). You acknowledge that:

• Third-party services have their own terms and privacy policies
• We are not responsible for third-party services or their content
• Integration with third-party services may be modified or discontinued at any time
• You grant us permission to access third-party data you choose to share

• Engage in fraudulent or illegal activity
• Abuse or harass other users or our staff
• Use the Service in a way that harms us or others
• Fail to pay subscription fees (after reasonable notice)

Effect of Termination

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination (including indemnification, disclaimers, and limitations of liability) will survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will work in good faith to resolve disputes amicably.

Arbitration (Optional)

If we cannot resolve a dispute informally within 30 days, either party may refer the dispute to arbitration under the rules of the Centre for Effective Dispute Resolution (CEDR). Arbitration shall take place in London, England. The arbitrator's decision shall be final and binding.

20. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or in-app notification
• Provide at least 30 days notice before changes take effect (where required by law)

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

Entire Agreement

These Terms, together with our Privacy Policy and Referral Terms, constitute the entire agreement between you and Health Mentor AI Ltd regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account to anyone else. We may assign our rights and obligations to any third party without notice to you.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or failures of third-party services.
